IMPORTANT NOTICE — PLEASE READ CAREFULLY
These Terms of Service contain a binding, individual arbitration provision and a class action waiver (Section 23). By using this Site or purchasing our products, you agree to resolve disputes through individual arbitration and waive your right to participate in a class action. Please review Section 23 carefully.
1. Overview
This website, raebasics.com (the "Site"), is operated by Rae Basics LLC ("Rae Basics," "we," "us," or "our"). The terms "you" and "your" refer to any user of the Site, whether as a browser, customer, subscriber, vendor, or other visitor.
By accessing or using the Site — including purchasing any products, enrolling in any subscription, or engaging with any content — you agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy, Return & Refund Policy, Shipping Policy, Purchase Options Cancellation Policy, and Legal Notice, which are each incorporated by reference.
If you do not agree to all the terms and conditions of this agreement, you should not access the Site or purchase any products or services.
We reserve the right to update, change, or replace any part of these Terms at any time by posting updates to the Site. Your continued use of or access to the Site following the posting of any changes constitutes acceptance of those changes.
2. Eligibility
By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you have the consent of a parent or legal guardian to use this Site.
You may not use our products or services for any illegal or unauthorized purpose, nor may you, in the use of the Site, violate any laws in your jurisdiction.

Such affirmative acceptance constitutes a binding agreement.
4. General Conditions
We reserve the right to refuse service to anyone for any reason at any time.
You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or its content without our express written permission.
5. Products and Services
Certain products may be available exclusively online through the Site. These products may have limited quantities and are subject to return or exchange only in accordance with our Return & Refund Policy.
We have made every effort to accurately display the colors, images, and descriptions of our products. We cannot guarantee that your computer or device's display of any color will be accurate.
We reserve the right to limit the quantities of any products or services offered, discontinue any product at any time, and change pricing or descriptions without notice.
We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations.
6. Product Disclaimer and Health Information
Rae Basics products are food products intended to support a healthy lifestyle. Statements regarding our products have not been evaluated by the Food and Drug Administration, and our products are not intended to diagnose, treat, cure, or prevent any disease. Individual results may vary.
If you are pregnant, nursing, taking medication, or have any medical condition, consult your healthcare provider before using our products. Review the ingredient list on each product's packaging before use, and contact us at hello@raebasics.com if you have specific questions about ingredients.
By purchasing and consuming our products, you acknowledge that you have reviewed the product information and assume all risk associated with use of the products.
7. Pricing and Payment
All prices displayed on the Site are in United States Dollars (USD) unless otherwise indicated and are subject to change without notice.
We reserve the right to refuse or cancel any order for any reason, including product availability, pricing errors, or suspected fraud. If your order is canceled after your payment method has been charged, we will issue a refund to your original payment method.
In the event of a pricing or product description error, we reserve the right to refuse or cancel any order placed for that product, whether or not the order has been confirmed and your payment method charged.
Payment is processed securely through Shopify Payments and other third-party payment processors. By submitting your payment information, you authorize us to charge the applicable fees to your designated payment method.
8. Subscriptions and Recurring Billing
Rae Basics offers subscription plans for select products. By enrolling in a subscription, you expressly consent to recurring billing and agree to our Purchase Options Cancellation Policy, which is incorporated by reference into these Terms and governs all subscription terms, billing, cancellation, and related matters.
Subscription orders are recurring and will be charged and shipped automatically according to the frequency you select. You may manage, skip, pause, or cancel your subscription at any time through your customer account portal or by contacting us at hello@raebasics.com. You may cancel your subscription using the same method you used to enroll, without any additional steps, fees, or retention attempts.
9. Returns, Refunds, and Exchanges
Our Return & Refund Policy governs all returns, refunds, and exchanges and is incorporated by reference into these Terms.
10. Shipping
Our Shipping Policy governs all shipments and delivery of products and is incorporated by reference into these Terms.
11. Intellectual Property
All content on the Site — including text, graphics, logos, images, photographs, audio and video clips, data, and software — is the property of Rae Basics LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.
The Rae Basics name, logo, and all related product names, designs, and slogans are trademarks of Rae Basics LLC. You may not use these marks without our prior written permission.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. This license does not include any resale, commercial use, derivative use, or data mining of the Site or its content.
12. User Content and Submissions
If you submit, post, or transmit content to the Site — including reviews, comments, photos, testimonials, or other material — you grant Rae Basics a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media, worldwide.
You represent and warrant that you own or control all rights to the content you submit, that the content is accurate, and that its use does not violate these Terms or cause injury to any person or entity. You agree to indemnify Rae Basics for all claims resulting from content you submit.
We reserve the right to monitor, edit, or remove any user content at our sole discretion.
13. Prohibited Uses
You are prohibited from using the Site: for any unlawful purpose; to solicit unlawful acts; to violate any international, federal, state, or local regulations, rules, or laws; to infringe our or others' intellectual property rights; to harass, abuse, harm, defame, or discriminate; to submit false information; to upload viruses or malicious code; to collect personal information of others; to spam, phish, or scrape; for any obscene or immoral purpose; or to interfere with the security of the Site.
We reserve the right to terminate your use of the Site for violating any of these prohibitions.
14. Personal Information
Your submission of personal information through the Site is governed by our Privacy Policy.
15. Errors, Inaccuracies, and Omissions
The Site may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability. We reserve the right to correct any errors and to change or update information or cancel orders if any information on the Site is inaccurate at any time without prior notice (including after you have submitted your order).
16. Disclaimer of Warranties
You expressly agree that your use of, or inability to use, the Site is at your sole risk. The Site and all products and services delivered to you through the Site are (except as expressly stated by us) provided "as is" and "as available" for your use, without any representation, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
We do not guarantee, represent, or warrant that your use of the Site will be uninterrupted, timely, secure, or error-free, or that the results obtained from use of the Site will be accurate or reliable.
17. Limitation of Liability
In no event shall Rae Basics LLC, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind — including without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages — whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of the Site or any products procured using the Site, or for any other claim related in any way to your use of the Site or any product.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability in such jurisdictions shall be limited to the maximum extent permitted by law.
In no event shall our total liability to you for all claims exceed the amount you paid to Rae Basics in the six (6) months preceding the claim.
18. Indemnification
You agree to indemnify, defend, and hold harmless Rae Basics LLC and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand — including reasonable attorneys' fees — made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.
19. Severability
If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms without affecting the validity of the remaining provisions.
20. Termination
These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by ceasing use of the Site. We may terminate this agreement at any time without notice if you fail to comply with any term, and you will remain liable for all amounts due up to and including the date of termination.
21. Entire Agreement
These Terms and any policies or operating rules posted by us on the Site constitute the entire agreement between you and us regarding the Site and supersede any prior or contemporaneous agreements.
22. Governing Law
These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
23. Binding Individual Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
(a) Agreement to Arbitrate. You and Rae Basics agree that any dispute, claim, or controversy arising out of or relating to (i) these Terms or any alleged breach thereof, (ii) our products or services, (iii) any advertising, marketing, or promotional communications, (iv) your purchase of or payment for any product or service, (v) your use of the Site, or (vi) any other matter relating to Rae Basics — will be resolved through final and binding individual arbitration and not in a court of law, except as specifically provided below.
(b) Arbitration Procedures. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in Dallas, Texas, or by video or telephone at your election. The arbitrator's decision will be final and binding.
(c) Class Action Waiver. You and Rae Basics each agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. You expressly waive any right to participate as a class representative or class member in any class action, collective action, private attorney general action, or consolidated arbitration. If a court or arbitrator decides that this class action waiver is unenforceable with respect to any particular claim, then that claim (and only that claim) shall proceed in court and not in arbitration.
(d) Exceptions. Either party may bring an individual action in small claims court. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
(e) 30-Day Opt-Out. You may opt out of this arbitration and class action waiver provision by emailing hello@raebasics.com with the subject line "Arbitration Opt-Out" within 30 days of your first purchase or first use of the Site, whichever is earlier. Your opt-out notice must include your full name, mailing address, email address, and a clear statement that you wish to opt out of the arbitration provision. Opting out will not affect any other provision of these Terms.
(f) Survival. This arbitration and class action waiver provision survives termination of these Terms and your relationship with Rae Basics.
24. Mobile Terms of Service
If you consent to receive SMS/text messages from Rae Basics, the following additional terms apply:
The Rae Basics mobile message service (the "Service") is operated by Rae Basics LLC. Your use of the Service constitutes your agreement to these Mobile Terms. We may modify or cancel the Service or any of its features without notice.
By consenting to our SMS/text messaging service, you agree to receive recurring SMS/text messages from or on behalf of Rae Basics at the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or similar technology. Messages may include order updates, account alerts, subscription reminders, promotions, and marketing offers.
You do not need to sign up for this program to make any purchases, and your consent is not a condition of any purchase. Participation is voluntary.
We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply.
You may opt out of the Service at any time by replying STOP to any text message. You'll receive a one-time opt-out confirmation message. For Service support or assistance, text HELP or email hello@raebasics.com.
Wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide a valid mobile number. If you get a new number, you will need to sign up again.
We will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, or any action you take in reliance on the Service.
25. Changes to Terms of Service
We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to the Site. Your continued use of the Site following the posting of any changes constitutes acceptance of those changes.
